Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Vaultaris website, hosted Cloud service and self-hosted licensed binaries (collectively, the "Service") operated by Vaultaris ("we", "us", "our"). By creating an account, purchasing a license or otherwise using the Service you agree to be bound by these Terms.
1. The Service
Vaultaris provides identity and access management software. We may modify, add or remove features at any time. We will use reasonable efforts to notify customers of material changes in advance, but we do not guarantee continuous availability of any specific feature.
2. Accounts & eligibility
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, to use the Service. You are responsible for the security of your account credentials, for all activity that occurs under your account and for ensuring that end-users of your tenant comply with these Terms.
3. Subscription, billing & cancellation
Paid plans are billed in advance on a monthly or annual basis. Fees are exclusive of applicable taxes, which you are responsible for paying. You may cancel a Cloud subscription at any time from the account portal; cancellation takes effect at the end of the current billing period. Self-host license keys are issued for the term described in your order and may be terminated for non-payment.
Refunds are issued at our sole discretion and only where required by applicable consumer-protection law.
4. Acceptable use
You agree not to use the Service to:
- Violate any law, regulation or third-party right.
- Send spam, phishing or other malicious traffic.
- Attempt to gain unauthorised access to systems, accounts or data.
- Reverse-engineer, decompile or extract proprietary components beyond what applicable law expressly permits.
- Resell or sublicense the Service except as expressly authorised in a separate written agreement.
We may suspend or terminate your access at any time, with or without notice, for breach of these Terms or for activity that we reasonably believe poses a risk to the Service or other customers.
5. Your data & privacy
Our handling of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms. You retain ownership of all data you submit to the Service and grant us only the rights necessary to operate, secure and improve the Service on your behalf.
6. Intellectual property
The Vaultaris software, brand, documentation and all related intellectual-property rights remain the property of Vaultaris and its licensors. Except for the limited rights expressly granted to you in your subscription or license agreement, no rights are transferred to you.
7. Disclaimer of warranties
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure or free from harmful components.
8. Limitation of liability
To the maximum extent permitted by law, Vaultaris and its officers, employees and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the amounts paid by you to Vaultaris in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred US dollars (USD 100).
9. Indemnification
You agree to defend, indemnify and hold harmless Vaultaris from and against any claims, damages, liabilities and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms or your infringement of any third-party right.
10. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Material changes will be communicated by email or via an in-product notice at least thirty (30) days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
11. Governing law & disputes
These Terms are governed by the laws of the jurisdiction in which Vaultaris is established, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively by the competent courts of that jurisdiction, unless mandatory consumer-protection rules of your country of residence provide otherwise.
